1. Acceptance of Terms
By creating an account or using UP2, you agree to these Terms of Service. If you do not agree, do not use the app. We may update these terms from time to time, and continued use after changes constitutes acceptance.
2. Account Types & Eligibility
UP2 offers three account types:
Personal Accounts are free and available to anyone 13 years of age or older. Personal accounts can browse listings and events, save items to lists, chat with other users, and follow other accounts.
Business Accounts are available to registered businesses and sole proprietors. Business accounts require business registry verification and a paid subscription to publish content. You must be authorized to act on behalf of the business you register.
Government Accounts are available to city, municipality, province, and department-level government organizations. Government accounts require email verification through an official government domain. You must be a duly authorized representative of the government entity.
3. Account Responsibilities
You are responsible for maintaining the security of your account credentials. You must provide accurate information during registration and keep it current. You may not transfer your account to another person or entity without our consent. You are responsible for all activity that occurs under your account.
4. Subscriptions, Billing & Credits
Business and Government accounts require a paid subscription to publish content. Subscriptions are billed monthly. Your subscription includes credits that determine how many listings and events you can publish:
- Local Listing Credits allow you to publish business listings visible in your local area.
- Local Event Credits allow you to publish events visible in your local area.
- Global Event Credits allow you to publish events visible to all users worldwide.
Credits reset at the beginning of each billing cycle. Unused credits do not roll over. You can purchase additional credits or modify your plan at any time. Changes that add credits take effect immediately. Changes that remove credits take effect at your next billing date.
Grace Period: When you add new credits to your subscription, you have a 24-hour grace period during which you may cancel the addition for a full refund, provided you have not used those credits.
Cancellation: You may cancel individual credit types or your entire subscription at any time. Cancellations take effect at the end of your current billing period — you retain access to your credits until then. Published content remains live until your billing period ends.
5. Content Ownership & Licensing
You retain ownership of all content you create and post on UP2, including listings, events, photos, and text. By posting content, you grant UP2 a non-exclusive, worldwide, royalty-free license to display, distribute, and promote your content within the app and related marketing materials.
You must have the right to post any content you share. Do not post content that infringes on the intellectual property rights of others. We may remove content that violates these terms without notice.
6. Account Verification
Business and Government accounts must complete verification before publishing content. This process involves:
- For Business accounts, providing your registered business name and business registry number, which we check against official business registries.
- For Government accounts, verifying your official government email address.
Verification information is handled in accordance with our Privacy Policy. We reserve the right to deny verification or suspend accounts if we cannot confirm your business, organization, or authorization.
7. Government Account Special Terms
Government accounts are held to a higher standard of accuracy and accountability. Content posted from government accounts should be official in nature and accurate. Government accounts may not be used for personal purposes, political campaigning, or unofficial communications.
Government accounts are tied to the jurisdiction specified during registration. Publishing content outside your jurisdiction is a violation of these terms.
8. Acceptable Use
You agree not to use UP2 to:
- Post false, misleading, or fraudulent listings or events.
- Harass, threaten, or intimidate other users.
- Distribute spam, malware, or unauthorized advertising.
- Impersonate another person, business, or government entity.
- Circumvent any security or access controls.
- Scrape, crawl, or collect data from UP2 through automated means.
- Use the platform for any illegal activity.
- Post content that is obscene, hateful, or promotes violence.
9. Prohibited Conduct
The following actions will result in immediate suspension or termination of your account:
- Creating multiple accounts to circumvent credit limits or bans.
- Manipulating analytics, engagement metrics, or review systems.
- Selling or transferring account access.
- Using UP2 to facilitate transactions involving prohibited goods or services.
- Interfering with the operation of the platform or other users' experience.
10. Termination
We may suspend or terminate your account at any time for violation of these terms, with or without notice. You may delete your account at any time through the app settings.
Upon termination, your right to use UP2 ceases immediately. Published content will be removed. We are not obligated to retain or provide you with copies of your content after termination.
If your paid subscription is terminated due to a violation, no refund will be issued for the remaining billing period.
11. Limitation of Liability
UP2 is provided "as is" without warranties of any kind. We do not guarantee the accuracy of user-posted content, the availability of the service, or that the app will be error-free.
To the maximum extent permitted by law, UP2 and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the app, including but not limited to loss of profits, data, or business opportunities.
Our total liability for any claim arising from these terms or your use of UP2 shall not exceed the amount you paid to UP2 in the 12 months preceding the claim.
12. Dispute Resolution
Any disputes arising from these terms or your use of UP2 shall first be addressed through good-faith negotiation. If a resolution cannot be reached within 30 days, the dispute shall be resolved through binding arbitration in accordance with the rules of the applicable jurisdiction.
You agree to resolve disputes on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration.
13. Location Sharing
UP2 lets you share your live location with friends on the map. This feature is OFF by default — your location is never shared until you turn it on yourself in the map's location-sharing settings.
When you turn it on, you choose who can see you: all of your mutual friends (people you follow who also follow you), or only specific friends you select. You can change your audience, pause, or stop sharing at any time, and stopping takes effect immediately. Blocking someone, or you and another person no longer following each other, ends location sharing between you right away.
We do not sell your location data. Your live location is shared only with the friends you choose, and only while sharing is turned on.
14. Changes to These Terms
We may modify these Terms of Service at any time. We will notify users of material changes through the app or via email. Your continued use of UP2 after changes take effect constitutes acceptance of the updated terms.
